WEST TENNESSEE OFFROAD BYLAWS REV D 8/25/15 1) MISSION STATEMENT West Tennessee Offroad INC is a Non Profit, family oriented club for off-road enthusiasts. WTO is a family oriented club committed to safe, responsible off-roading!!!
2) MEMBERSHIP a) Before joining the club, all prospective members are encouraged to attend at least 1 club ride, event, or get-together to get to know the other members. Though this isn’t a requirement, it’s recommended. b) Applicants must be 18 years of age. Age requirement may be waived upon review by the Board of Directors. c) Membership privileges are extended to immediate family members. Immediate family is classified as a spouse, and/or minor under 18. d) Any member who operates a motor vehicle at a club function must possess a valid driver's license and carry insurance on said vehicle which satisfies the minimum legal requirements in the state for which the vehicle is registered in. e) WTO will not be held responsible for injuries to a member, guest and/or prospective member. WTO will not be held responsible for damage or loss to any vehicle or personal property at any event, meeting, or trail ride. Participation in any WTO event is voluntary and is solely at the risk of those who choose to participate.
3) DUES a) Dues are $25 (Twenty Five Dollars) annually. Any changes regarding dues must be voted in by a 2/3’ds vote of the Board of Directors.
4) CONDUCT AND ACTIVITY RULES a) All club members must conduct themselves in a manner which is consistent with our standards and ideals. Any member who does not conduct themselves appropriately may be subject to disciplinary action up to, and including dismissal from the club. If a club member is dismissed for any reason, they forfeit all member privileges and any dues/fees/monies paid to the club. b) Members will be held accountable for the actions of their guests. c) Any member whom possesses a firearm during any club activity does so at their own risk and liability. Any member who chooses to carry a weapon should do so safely and discreetly. The member must also follow all Local, State and Federal laws regarding the carry and use of such weapon.
5) TRAIL RIDE RULES a) Trail Guides and/or Club Directors are in charge of all official club rides and have ultimate authority for all rides and scheduled club events. b) Any drivers on an official trail ride must sign a waiver of liability prior to participating in an event. c) No vehicle trail blazing, we strive to tread lightly. d) Pets must be controlled by owner. e) Do not litter! If you haul it in, haul it out!
6) ALCOHOL, DRUGS, AND OTHER INTOXICATING SUBSTANCES a) Operating a vehicle while consuming or under the influence of alcohol, drugs or other intoxicating substances will not be permitted on trail rides or any club sponsored events. In addition, drivers are to obey all posted park-specific and state/federal specific rules and laws regarding alcohol/drug consumption. b) Open alcohol containers are prohibited in a moving vehicle at an aforementioned event c) Drivers are fully responsible for the actions of their passengers
7) VEHICLE EQUIPMENT a) Vehicles must be maintained in a safe manner, have proper license plates if applicable, and be in compliance with all federal, state, and local laws. b) Fire extinguishers, first aid kit, and a proper tow strap are highly recommended standard gear for every vehicle. c) A Roll Cage or factory unitized Roll Protection structure as well as a safety belt for every passenger is required on every vehicle. No Exceptions. d) A spare tire within two inch of the diameter of the vehicle tires is mandatory for every vehicle on a trail ride. e) When operating an OHV (3 wheeler, 4 wheeler etc), the operator and passenger must be in compliance with all Federal, State, and local laws regarding helmets, eye protection, and other safety equipment.
8) DIRECTORS AND DUTIES Directors are encouraged to attend as many Club functions as possible and should be a part of the day to day management of the club. Directors terms are indefinite. PRESIDENT: • Exercise general supervision of the club, club affairs, and represent the club in any meetings outside the organization. • Conduct general membership and board meetings (as needed). • Organize at least 1 club ride per year • Prepare and monitor budget with the Treasurer for review and approval by majority vote of BOD VICE PRESIDENT • Manage the clubs calendar of events, and assure delegation of assignments to the event coordinators. • Organize at least 1 club ride per year • Act as President in the absence of the President. TREASURER • Maintains records of Club finances, and audits them regularly. • Prepare the budget with the Club President. • Organize at least 1 club ride per year • Prepare the end of year balance sheet SECRETARY • Maintain a copy of all club membership paperwork, rosters, and other pertinent documents. • Provide a copy of all documents to the club President as a backup. • Organize at least 1 club ride per year • Record minutes of all club, and Board meetings DIRECTOR - SAFETY and TRAINING • Promote the education of proper trail techniques, trail repairs, safety, recovery, and first aid for all members. • Organize at least 1 club ride per year • Appoint, train and develop qualified trail guides to support the club's officers on trail rides. DIRECTOR (General) • Be an integral part of planning major, and minor Club runs. Actively part of event planning, club promotions, and general organization efforts. • Uphold the Clubs values, and serve its members. • Organize at least 1 club ride per year WEB ADMINISTRATOR • A 2/3’ds vote by the Board of Directors is needed to appoint a new Administrator • Oversee Website, Forum, and Facebook pages.
9) MEETINGS: a) Although our meetings will generally take place in the greater Tennessee area, it’s our mission to support, and regularly have get-togethers in outlying areas.
10) BYLAW CHANGES a) A two-thirds majority vote by the Board of Directors is required to amend the Bylaws.
11) CLUB FUNDS a) The annual budget shall be presented to the club at the January meeting for the current fiscal year. b) All club expenses must be approved by a BOD member. c) An overview of Club funds, and expenditures will be presented at meetings.
12) Board of Directors The Board of Directors consist of the following individuals: Angie - President Brandon David – Vice President Jeremy Bradford – Treasurer Carl Byrd - Secretary Cindi Byrd – Membership Director Lowell Tillman – Director Kevin Brasfield - Director Ross Denbow – Director Martin Smoot - Director
The minimum number of board members needed to operate is 3, and the maximum is 11. In the event a board member needs to be replaced, a majority vote by the remaining board members, or consensus is needed to do so. It’s the BOD’s responsibility to ensure adherence to legal standards and ethical norms, assist in developing the annual budget and ensuring that proper financial controls are in place, and actively participate in an overall planning process and assist in implementing and monitoring the plan's goals.
